CERTIFICATE OF AMENDMENT
OF THE CERTIFICATE OF INCORPORATION
OF NATIONAL ELECTRONICS MANUFACTURING INITIATIVE, INC.
(A corporation without Capital Stock)

Pursuant to Section 242 of the Delaware General Corporation Law ("DGCL"), National Electronics Manufacturing Initiative, Inc. (the "Corporation"), a corporation organized and existing under and by virtue of the DGCL as a Delaware nonstock corporation, does hereby certify:

FIRST: The Certificate of Incorporation (the "Certificate of Incorporation") of the corporation was filed with the Secretary of State on January 16, 1996.

SECOND: At a meeting held on December 14, 2004, a vote of the Board of Directors, the members of the governing body of the Corporation was taken for and against the amendment to the Certificate of Incorporation, being as follows:

The Corporation shall change its name to:

International Electronics Manufacturing Initiative, Inc.

THIRD; That said amendment was duly adopted in accordance with the provisions of  Section 242(a)(3) of the DGCL.
