iNEMI Membership Agreement

This Membership Agreement is made and entered into by each party and effective as of the date written below, on which an authorized representative of such party sets forth his or her signature below.

The hereinafter "Member" represents that it satisfies the conditions of membership in the International Electronics Manufacturing Initiative, Inc. ("iNEMI") as set forth in the iNEMI Bylaws ("Bylaws") and by signature and designation below, each Member agrees to and acknowledges its classification in iNEMI as either an iNEMI Participating Organization or an iNEMI Affiliated Organization, as such terms are defined in the Bylaws. Each Member further agrees to: abide by the terms of iNEMI�s amended and restated Certificate of Incorporation, Bylaws and iNEMI Project Participation Agreement (including the iNEMI Intellectual Property Policy incorporated therein).

This Membership Agreement constitutes and expresses the complete and final agreement of the Members with respect to the Bylaws, the iNEMI Project Participation Agreement (including the iNEMI Intellectual Property Policy incorporated therein), and their membership in iNEMI. All prior drafts or statements of the Bylaws, Participation Agreements or Intellectual Property Policy, of iNEMI whether formally executed or not, and all prior discussions, proposals, negotiations and representations, are hereby superseded by this Membership Agreement.
